All limited companies are legally required to file the CS01, also known as the Confirmation Statement, on an annual basis. Companies House will notify you of your upcoming filing deadline via email or letter.
Filing Deadline
The confirmation date, which serves as the first filing deadline, is set 12 months from your company's incorporation date. It is recommended to file the Confirmation Statement as early as possible or, if necessary, more than once a year. However, it must be submitted no later than 14 days (approximately 2 weeks) after the confirmation date to avoid penalties.
Consequences of Late Filing
Missing the deadline may result in:
- Financial penalties or fines
- Removal of your company from the Companies Register
- Transfer of your company’s assets to the Crown
Even if your company is dormant or non-trading, it is a legal obligation to file the Confirmation Statement. Failure to do so is considered an offence.
